Terms and conditions (AGB)
This is an English translation for your convenience. The German version of this page is binding and will be published here soon.
1. Scope
These terms apply to all contracts between Nathanael Boy, trading as Nathanael Boy Consulting (the Consultant), and his clients, whether businesses, entrepreneurs or consumers. Different terms of the client apply only if I agree in writing.
2. Services
I offer: (a) the Build Plan in 5 Days, a written plan before building; (b) ongoing and punctual support for existing apps; (c) full builds and feature development, delivered feature by feature; (d) teaching sessions on the client's own project. The contract is a service contract (Dienstvertrag): I owe the agreed effort, not a particular result.
3. Contract formation
My website is not a binding offer. The contract is formed when the client accepts a statement of work or offer by paying the corresponding invoice.
4. Build Plan in 5 Days
The 5 working days start on receipt of payment and of the client's written brief. The Build Plan covers a problem summary, process map, feasibility check and tool selection, prioritized feature list, effort estimate as a range of hours, risks and recommendation, and a statement of work. It is billed at the hourly rate and typically takes 2 to 5 hours of work. The amount is credited against the first invoice if the client hires me for the build, with no time limit. The effort estimate is an estimate, not a fixed price or a promised deadline.
5. Remuneration and payment
Work is billed by the hour at the rate stated on the website or in the offer. For clients in Europe (EU, UK, Switzerland) the rate is 125 EUR per hour, plus VAT where applicable. For consumers, prices include VAT. Clients elsewhere receive a quote. Work is split into features, and each feature is paid upfront and in full. Invoices are due on receipt and before work starts. Payment is by bank transfer; card payment is possible on request. I do not offer fixed prices for whole projects.
6. Delivery and approval
I deliver feature by feature, by live demo call, recorded video or test link, depending on the client. The client tests each feature. A feature is deemed approved if the client gives no feedback within 7 days. Corrections and amendments requested after delivery are billed.
7. Client duties
The client provides the information, access and decisions I need in time, and the written brief for the Build Plan. Apps are built in the client's own accounts, where I am invited as an external guest for the duration of the project. The client pays the subscriptions of the tools used directly to the providers.
8. Ownership and rights of use
The client owns its data, apps and tool accounts and receives the right to use everything built for them. I keep my general know how and may show the project in my portfolio unless the client objects.
9. AI and confidentiality
I use AI tools in planning, building and troubleshooting, and I review the results. I almost never enter client data into AI tools and only use anonymised information. I treat all non public client information as confidential. Where I have access to personal data of the client's customers inside the client's apps, access is limited to what the work requires, and the client remains responsible for that data.
10. Liability
I am liable without limit for intent, gross negligence and injury to life, body or health, and under mandatory law. For slight negligence I am liable only for the breach of an essential contractual duty, limited to the foreseeable damage typical for this type of contract and to the amount paid for the affected service.
11. Termination
The client can stop after any feature. Work already done is not refunded. Prepaid hours that have not been used are refunded.
12. Appointments
Calls and teaching sessions can be cancelled free of charge up to 24 hours before the start.
13. Right of withdrawal for consumers
Consumers have a 14 day right of withdrawal, described in the withdrawal notice. If the consumer asks me to start before the withdrawal period ends, the consumer expressly consents and acknowledges the loss of the withdrawal right once the service has been fully performed.
14. Data protection
Personal data is processed as described in the privacy policy.
15. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, mandatory consumer protection of their country of residence remains unaffected. For businesses, the place of jurisdiction is Berlin. The German version of these terms is binding. If a provision is invalid, the others remain valid.
